GLIMBR END USER LICENSE AND SERVICES AGREEMENT

This End User License and Services Agreement ("Agreement") is a legally binding contract between Glimbr Pty Ltd ("Glimbr," \"we," \"us," or \"our"), an Australian company, and you ("User," "Client,\" or "you"). By registering for, accessing, or using any of Glimbr's AI-driven call management services ("Services"), you agree to be bound by this Agreement. If you do not agree with these terms, please do not use our Services.
Note: This Agreement incorporates our Privacy Policy and any other applicable policies by reference.
1. Acceptance of Terms
Binding Agreement: By clicking "I Accept," creating an account, or using the Services, you confirm that you have read, understand, and agree to be legally bound by this Agreement.
Incorporation of Policies: Our Privacy Policy (and any additional policies) are incorporated herein by reference and form an integral part of this Agreement.
2. License Grant and Restrictions
License Grant: Subject to your compliance with this Agreement, Glimbr grants you a non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.
Restrictions: You agree not to:
- Sell, sublicense, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Services or any portion thereof.
- Modify, reverse engineer, decompile, disassemble, or create derivative works of the Services.
- Use the Services to develop or support any product or service that competes with Glimbr.
- Use the Services to develop or support any product or service that competes with Glimbr.
3. Services Provided
Glimbr provides AI-powered call management solutions including, but not limited to:
- Automated phone answering and call routing
- Appointment scheduling and basic client interactions
- Call recording, transcription, and analysis
The precise features available to you are determined by your selected plan. Glimbr may update or modify the Services from time to time.
4. User Obligations
You agree to:
- Provide accurate and complete registration information
- Maintain the confidentiality of your account credentials
- Use the Services in compliance with all applicable laws and regulations
- Be responsible for all activities occurring under your account
- Promptly notify Glimbr of any unauthorized use or security breaches

5. Payment Terms
Subscription Fees: You agree to pay all applicable fees for the Services as per your selected plan. Fees are non-refundable except as required by law.
Billing: We bill in advance on a recurring basis. You authorize us to charge your payment method for all fees incurred.
6. Data Privacy and Security
We collect and process personal data in accordance with our Privacy Policy. You represent and warrant that you have obtained all necessary consents for the collection and processing of personal data through the Services.
7. Intellectual Property Rights
All rights, title, and interest in the Services, including all intellectual property rights, remain the exclusive property of Glimbr. Nothing in this Agreement transfers any such rights to you.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information only for purposes of performing under this Agreement.
9. Term and Termination
This Agreement remains in effect until terminated. Either party may terminate this Agreement upon written notice. Upon termination, you must cease all use of the Services.
10. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GLIMBR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLIMBR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.
12. Indemnification
You agree to indemnify and hold Glimbr harmless from any claims, damages, or expenses arising from your use of the Services or violation of this Agreement.
13. Governing Law
This Agreement is governed by the laws of Australia. Any disputes shall be resolved exclusively in the courts of Queensland, Australia.
